UAE Corporate Tax Explained.
Understanding UAE Corporate Tax
For many years, the UAE was widely known for its business-friendly tax environment. The introduction of Federal Corporate Tax marked an important change, with the regime applying to financial years beginning on or after 1 June 2023.
Whether you operate an established company, a growing business, or a startup, understanding Corporate Tax is essential for maintaining compliance and making informed financial decisions.
What Is Corporate Tax?
Corporate Tax is a tax imposed on the taxable income of businesses and other entities within the scope of the UAE Corporate Tax regime. It is not simply a tax on total sales or revenue; the calculation begins with accounting income and applies the relevant Corporate Tax rules to determine taxable income.
The standard UAE Corporate Tax structure is straightforward:
0% on taxable income up to AED 375,000
9% on taxable income exceeding AED 375,000
For example, if a business has AED 500,000 of taxable income, the first AED 375,000 is subject to 0% tax, while the remaining AED 125,000 is subject to 9%.
Estimated Corporate Tax: AED 11,250.
For certain very large multinational enterprise groups, a separate 15% minimum effective tax rate may apply under the UAE's implementation of the OECD's Pillar Two framework. This is relevant primarily to groups meeting the applicable global revenue threshold.
Small Business Relief
The UAE Corporate Tax framework offers Small Business Relief to eligible UAE resident businesses with revenue of AED 3 million or less.
If the conditions are met and the business elects for the relief, it is treated as having no taxable income for that Tax Period.
Key Points:
AED 3 million revenue threshold - based on revenue, not profit.
Election required - the relief is not automatic and must be elected in the Corporate Tax Return.
Previous periods matter - the AED 3 million threshold generally applies to the current and relevant previous Tax Periods.
Temporary relief - currently available for Tax Periods ending on or before 31 December 2026, subject to applicable conditions.
Certain businesses excluded - including Qualifying Free Zone Persons (QFZPs).
For eligible small businesses, this can significantly reduce their Corporate Tax burden.
What About Free Zone Businesses?
Being established in a UAE Free Zone does not automatically mean a business pays 0% Corporate Tax.
A Qualifying Free Zone Person may benefit from a 0% Corporate Tax rate on qualifying income, provided the relevant requirements are satisfied. These include requirements relating to substance, qualifying income, transfer pricing compliance, and other conditions.
This means Free Zone businesses should carefully assess their activities and income rather than assuming that Free Zone status automatically provides a 0% tax rate.
Corporate Tax Registration
One of the most important points for businesses to understand is that a 0% Corporate Tax rate does not necessarily remove registration and filing obligations.
Taxable persons subject to Corporate Tax are required to register with the Federal Tax Authority (FTA) and obtain a Corporate Tax Registration Number, subject to the applicable rules. The FTA confirms that late Corporate Tax registration can result in an AED 10,000 administrative penalty.
So, even if your business expects to have little or no Corporate Tax payable, it is important to understand your registration, record-keeping, and filing obligations.
